BY-LAWS of the ATHENS-CONCORD TOWN SOCIAL COMMITTEE

1. This body shall be known as The Athens-Concord Town Social Committee.

2. This body shall function under the government of The Town of Athens, West Virginia, and the office of the President of Concord University.

3. The sole purpose of this body shall be the efficient administration of the specific objectives appended at the end of these by-laws.

4. This body shall consist of no fewer than five members.

5. The officers of this body shall be a Chair, a Vice-Chair, a Secretary and a Treasurer.

    1. The Chair shall call and chair meetings of the body; enter into agreements on behalf of the body, after deliberating with the other members; report to the Town Council and University President as may be arranged; appoint a nominating subcommittee and other subcommittees as may be necessary; undertake such fundraising activities as may be proper and necessary; and attend the Town Social and see to its efficient administration.
    2. The Vice-Chair shall perform the above duties in the events of the absence, incapacitation, or resignation of the Chair; and assist the Chair in the carrying out of the above duties.
    3. The Secretary shall record minutes of meetings; provide these minutes by the time the next meeting convenes; maintain a list of awards recipients and their current addresses; and carry on correspondence as directed by the Chair.
    4. The Treasurer shall keep a record of income and disbursements, reporting, balance at each meeting of the body; maintain a checking account for the Town Social at BB&T-Athens; take out the Certificates of Deposit (or other financial instruments with the approval of the body) to maximize income; and issue a comprehensive financial report within sixty (60) days after the Town Social is held each year.

6. A meeting shall not be considered official unless members are notified in writing or orally at least 24 hours in advance of the meeting time.

7. The meetings shall be informal, with no recorded votes taken, unless a majority of members present at any meeting shall request a more formal arrangement. In such case Robert's Rules of Order shall apply, except where specifically in conflict with these by-laws.

8. These by-laws may be amended by proposing amendments at a meeting, and obtaining a three-fifths affirmative vote of members present at the next meeting (provided that at least 24 hours separate the two meetings).

9. In the event that the Town Social is discontinued, all monies shall be used to pay outstanding expenses. The remaining balance, if any, shall be divided into two equal parts, those parts being deposited in the General Revenue Fund of the Town of Athens and the Concord University Foundation, Incorporated.
